Support Services

We offer ongoing technical support and maintenance services for software systems we develop or as specified in separate support agreements. Support services may include bug fixes, security updates, performance optimization, and technical assistance during agreed service hours.

3. User Responsibilities

As a client of Software Development Services LLC, you agree to fulfill the following responsibilities:

Accurate Information

You agree to provide accurate, complete, and current information when engaging our services. This includes project requirements, business specifications, technical constraints, and any other information necessary for the successful delivery of services. You are responsible for updating us promptly of any changes to this information.

Account Security

If you are granted access to any systems, platforms, or tools as part of our engagement, you are responsible for maintaining the security of your account credentials. You agree to notify us immediately of any unauthorized access or security breach. You are responsible for all activities that occur under your account.

Compliance

You agree to comply with all applicable laws, regulations, and industry standards in connection with your use of our services. You are responsible for ensuring that your use of any software or systems we develop complies with relevant data protection laws, intellectual property laws, and other regulatory requirements applicable to your business and industry.

4. Intellectual Property

Ownership

All intellectual property rights in software, documentation, methodologies, and other materials developed by Software Development Services LLC in the course of providing services shall be governed by the specific terms outlined in individual service agreements. Unless otherwise agreed in writing, custom software developed specifically for a client project shall become the property of the client upon full payment.

Licenses

Software Development Services LLC retains all rights to pre-existing intellectual property, including frameworks, libraries, tools, and methodologies used in the development process. We grant you a non-exclusive, non-transferable license to use such pre-existing intellectual property solely as incorporated into the final delivered software.

Client Materials

You retain all ownership rights to materials, content, and data you provide to us during the course of our engagement. You grant us a limited license to use such materials solely for the purpose of providing the agreed-upon services. You represent and warrant that you have all necessary rights to provide such materials to us.

5. Limitation of Liability

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We make no guarantees regarding the results obtained from the use of our services or the accuracy, reliability, or content of any deliverables. Any reliance on our services or deliverables is at your own risk.

Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOFTWARE DEVELOPMENT SERVICES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE OUR SERVICES.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you to us for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

6. Governing Law

Texas Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.

Jurisdiction

Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas. You consent to personal jurisdiction in such courts and waive any objection to venue in such courts.

7. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Any changes will be effective immediately upon posting the revised Terms on our website. The "Last Updated" date at the top of this page indicates when the most recent revisions were made.
